Terms & Conditions

These General Terms and Conditions (“Terms”) of Premium Reefing UG (haftungsbeschränkt) (“Seller”) apply to all contracts for the delivery of goods concluded between a consumer or business customer (“Customer”) and the Seller in respect of goods displayed in the Seller’s online shop.

1. Scope

1.1 These Terms apply to all contracts for the delivery of goods, whether the customer is a consumer or a business. The inclusion of the customer’s own terms and conditions is hereby objected to unless otherwise agreed.

1.2 A consumer is any natural person who concludes a transaction for purposes that are predominantly neither commercial nor self-employed.

1.3 A business customer is a natural or legal person or a legally capable partnership acting in the exercise of their commercial or self-employed professional activity when concluding the transaction.

2. Conclusion of Contract

2.1 Product descriptions in the online shop do not constitute binding offers by the Seller, but serve as an invitation for the Customer to submit a binding offer.

2.2 The Customer may submit an offer via the online order form. By clicking the order completion button, the Customer submits a legally binding contractual offer in respect of the goods in the shopping basket.

2.3 The Seller may accept the Customer’s offer within five days by sending a written or text-form order confirmation, by delivering the ordered goods, or by requesting payment from the Customer after the order has been placed.

2.4 Where a PayPal payment method is selected, the Seller declares acceptance of the Customer’s offer at the moment the Customer clicks the button completing the order process.

3. Right of Withdrawal

Consumers are entitled to a right of withdrawal in accordance with statutory provisions. Full details are set out in our Cancellation Policy. Please note that under § 312g para. 2 no. 3 BGB, no right of withdrawal exists for live animals. Orders of corals and other live animals cannot be returned under distance selling regulations.

4. Prices and Payment

4.1 All prices shown are final prices. Where applicable, statutory VAT is included.

4.2 Shipping costs are shown separately at checkout and added to the total order value.

4.3 Available payment methods are shown in the online shop. For wholesale trade accounts, invoice payment is available for approved customers.

5. Delivery and Shipping

5.1 Goods are delivered to the shipping address provided by the Customer. Where delivery is made to a business address, delivery is at the Customer’s own risk.

5.2 Live animal shipments take place Monday to Thursday only for next-day delivery. Further details are set out in our Shipping Information.

5.3 If multiple items with different delivery timescales are ordered, shipment will be made in a single combined consignment unless otherwise agreed.

5.4 Self-collection is only possible by prior arrangement. Please contact us before placing an order.

6. Retention of Title

Goods delivered by the Seller remain the Seller’s property until full payment has been received.

7. Defect Liability (Warranty)

7.1 For business customers: the Seller chooses the type of subsequent performance; the limitation period for warranty rights on new goods is one year from delivery; warranty rights on used goods are excluded.

7.2 For consumers: statutory warranty provisions apply, subject to any agreement to reduce the limitation period on used goods where this has been explicitly agreed and the Customer informed prior to their contractual declaration.

7.3 The above limitations do not apply to claims for damages or expenses, cases where the Seller has fraudulently concealed a defect, goods used in construction, or update obligations for digital products.

8. Liability

8.1 The Seller is liable without limitation for intent or gross negligence; for intentional or negligent injury to life, body, or health; for guarantees; and under mandatory statutory liability such as the Product Liability Act.

8.2 For negligent breach of a material contractual obligation, liability is limited to foreseeable, contract-typical damage.

8.3 All other liability is excluded.

9 & 10. Vouchers

Promotional vouchers issued free of charge may only be redeemed in the online shop within the specified period. Gift vouchers purchased through the online shop may be redeemed for goods only and are valid for three years from the year of purchase.

11. Governing Law

The law of the Federal Republic of Germany applies to all legal relations between the parties, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that the protection afforded is not withdrawn by mandatory provisions of the law of the country where the consumer habitually resides.

12. Jurisdiction

For business customers, entrepreneurs, and legal entities under public law with their registered office in Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Seller’s registered office. If the Customer’s registered office is outside Germany, the Seller’s registered office is also the exclusive place of jurisdiction for commercial disputes.

13. Alternative Dispute Resolution

The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
